NOMINEE SERVICE

In Singapore, the names and addresses of company directors and shareholders are required to be registered with the Registrar of Companies. This information is publicly available to anybody that wishes to view this information through many online sources.

NOMINEE DIRECTORS S$300 P.M.

Under the Singapore Companies Act, every company shall have at least one director who is a resident in Singapore i.e. Singapore Citizen, Singapore Permanent Resident or Singapore Employment Pass holder. The director should be a natural person of full age and capacity.

Our nominee director service is designed to ensure that the Singapore legal requirement is complied with, whilst maintaining the privacy of our client and at the same time allow them to operate and manage the company as if they were the director.

The nominee is director in name only and will not have the powers to manage nor have any financial interest in the company it represents. We provide the client with a Nominee Director Agreement which defines this.

​

To allow our client to operate the company we provide them with a General Power of Attorney empowering him or her to run the business, manage the company's activities and open and operate the company's bank accounts.

Our Nominee will provide the following documents:

  • Nominee Director Agreement

  • Pre-signed undated Resignation Letter

  • General Power of Attorney

NOMINEE SHAREHOLDERS S$100 P.M.

Upon taking on the duties of Nominee Shareholder, we would hold shares upon trust for you. Our Declaration of Trust would serve the purpose of ensuring that your identity as Beneficial Owner(s) is only known to us and not put on public record at the Company's Registry.

An original Share Transfer Form signed by us, but undated, will be issued to you, so that you can have the security of being able to transfer the shares at any time.

Our Nominee will provide the following documents:

  • Declaration of Trust

  • Pre-signed undated Transfer Form

TERMS & CONDITIONS OF NOMINEE SERVICE

Our annual fee for the provision for a Nominee Director is S$300 per month per nominee / Nominee Shareholder is S$100 per month per nominee respectively, payable annually, subject to the following conditions:-

  • A refundable security deposit of S$5000 be placed with us; and

  • The Company's accounts be audited by Singapore Audit Firm; or

  • The Company's accounts be prepared by us.
